Service Agreement
Effective Date: Upon completion of Stripe checkout
Section 01
Parties & Purpose
This Service Agreement ("Agreement") is entered into between McKenzie Æon ("the Agency," "we," or "us") and the individual or entity completing the associated Stripe checkout ("the Client," "you," or "your").
This Agreement governs the scope of work, payment terms, deliverables, and operational responsibilities for all services purchased through the Agency's checkout process.
Section 02
Scope of Work & Packages
All project engagements are defined by the package selected at checkout. The Agency offers the following:
The Brain
$5,000 — One-Time Project
Delivery of a complete, two-part AI system:
- A front-end AI customer-service agent (Tidio Lyro AI), configured and deployed.
- A back-end AI operations assistant (Custom Google Gemini GEM), built to the Client's specifications.
Brain + Website
$10,000 — One-Time Project
Everything included in The Brain, fully integrated into a custom, commercial-grade Squarespace website designed and built by the Agency.
Intelligence
$2,000/month — Optional Retainer
An ongoing support subscription that includes:
- Continuous AI training and optimization.
- Website content updates and refinements.
- Ongoing operational support and consultation.
Section 03
Payment Terms
All one-time project packages (The Brain and Brain + Website) follow a two-phase payment structure:
- Phase 1 — Deposit: A non-refundable deposit of 50% of the total project fee is due at checkout to initiate the engagement and reserve the Agency's production schedule.
- Phase 2 — Final Payment: The remaining 50% is due upon project completion. All deliverables — including website access, AI agent credentials, and associated assets — will be transferred to the Client only after this final payment is received in full.
Intelligence Retainer Billing: The Intelligence subscription is billed as a separate, recurring monthly charge. The Client may cancel at any time; however, no prorated refunds will be issued for any partial month remaining at the time of cancellation.
Section 04
Revisions
The Brain + Website package includes exactly one (1) comprehensive round of revisions following the Agency's initial project delivery. This revision round is designed for the Client to consolidate all feedback — including design adjustments, copy changes, and layout preferences — into a single, thorough review.
Once this revision round has been completed and implemented, any subsequent requests for structural or content changes to the website will require an active Intelligence subscription.
The standalone Brain package includes one (1) round of configuration refinements to the delivered AI agents, subject to the same terms above.
Section 05
Content & Media
By default, the Agency sources and integrates premium, commercially licensed stock media (photography, icons, and graphic assets) into all project deliverables at no additional cost to the Client.
If the Client wishes to use their own branded media — including logos, photography, or video — all such assets must be provided during the Intake phase at the start of the project. Media submitted after the Intake phase may delay the production timeline or fall outside the included revision round.
Section 06
Out-of-Scope Services
To maintain the quality and focus of every engagement, the following services are expressly not included in any package unless separately scoped and agreed upon in writing:
- Blog creation or ongoing blog content production.
- Search Engine Optimization (SEO) strategy or ongoing SEO management.
- Custom video production, animation, or motion graphics.
Section 07
Domain Connection & Security Protocol
Important: As a strict security measure, McKenzie Æon will never ask for, request, or accept login credentials to the Client's domain registrar (e.g., GoDaddy, Namecheap, Google Domains, or any other provider).
Upon project completion, the Agency will provide the Client with the exact DNS records (such as CNAME or A records) and step-by-step instructions required to connect their domain to the delivered website. It is the Client's sole responsibility to apply these records within their domain registrar account.
The Agency is available to provide guidance during this process but will not access the Client's registrar account under any circumstances.
Section 08
Client Responsibilities
To ensure timely and successful project delivery, the Client agrees to:
- Complete the project Intake questionnaire promptly and thoroughly.
- Provide all requested brand assets, media, and copy during the Intake phase.
- Respond to Agency communications and approval requests within a reasonable timeframe. Delays caused by unresponsive communication may extend the project timeline without liability to the Agency.
- Apply DNS records as instructed per Section 07.
Section 09
Intellectual Property & Ownership
Upon receipt of all payments in full, the Client receives full ownership and usage rights to the final deliverables, including the completed website and configured AI agents.
The Agency retains the right to display the completed project in its portfolio, case studies, and marketing materials unless the Client requests otherwise in writing prior to project completion.
All proprietary tools, frameworks, workflows, and methodologies used by the Agency in the creation of deliverables remain the exclusive intellectual property of McKenzie Æon.
Section 10
Limitation of Liability
The Agency's total liability under this Agreement shall not exceed the total fees paid by the Client for the applicable project. McKenzie Æon shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of revenue, data, or business opportunity, arising from or related to the services provided under this Agreement.
The Agency does not guarantee specific business outcomes, traffic volumes, conversion rates, or revenue increases as a result of the deliverables.
Section 11
Termination
Either party may terminate this Agreement with written notice. In the event of Client-initiated termination:
- The initial 50% deposit is non-refundable under all circumstances.
- If termination occurs after the final payment has been made and deliverables have been transferred, no refund will be issued.
- Intelligence subscriptions may be canceled at any time via written notice; no refund is issued for the remaining portion of the current billing cycle.
Section 12
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state in which McKenzie Æon operates, without regard to conflict-of-law principles. Any disputes arising under this Agreement shall be resolved through good-faith negotiation before pursuing formal legal action.
Acceptance of Terms
By completing your purchase through the McKenzie Æon Stripe checkout, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions set forth in this Service Agreement. Your payment constitutes your electronic signature and full acceptance of this Agreement.
